Sodalis Group is an Italian cosmetics, personal-care and nutraceuticals company founded in 1990 and headquartered in Lodi, near Milan [3]. It operates as a multi-brand, multi-channel group that has grown largely by acquisition, and it remains privately held by its founding family; the company describes itself as "always Italian family-owned" [1].

By the mid-2020s Sodalis had become one of the larger independent personal-care players in Europe, reporting annual revenues of more than 915 million dollars, or about 840 million euros [3]. The group is notable less for a single flagship product than for the breadth of the portfolio it has assembled, spanning pharmacy skincare, colour cosmetics, hair care and everyday personal-care staples.

History & milestones

The company traces its beginnings to 1990 and has expanded steadily ever since, purchasing more than 20 companies over that period [3]. An early step came in 2000 with the acquisition of the Italian personal-care brands Vidal and Leocrema [2], followed in 2010 by the hair-care brand Biopoint. In 2015 Sodalis moved beyond Italy, buying the French ecological-products company L'Arbre Vert together with Wash & Go.

The pace of acquisitions increased through the second half of the decade, taking the group into new categories including pharmacy-channel skincare, colour cosmetics and, from 2019, nutraceuticals. According to the company, its structure reflects this growth: it groups its brands into divisions covering pharmacy health and beauty, consumer beauty and personal care [1].

Portfolio & brands

Sodalis owns a range of brands concentrated in the Italian and wider European markets. The company organises them into three divisions [1]. Its pharmacy health and beauty division includes BioNike, a dermatological skincare brand; the supplements maker ESI; and Goovi. The consumer beauty division covers the make-up brand Deborah Milano, the hair-care brand Biopoint, plus Debby, Dermolab and Artdeco. The personal-care division holds household and body-care names such as Tesori d'Oriente, Vidal and Lycia.

Beyond these, the group's broader portfolio includes brands such as Brelil Professional, Brisk and Triple Dry. Through its 2024 purchase of HRB Brands it also added a set of long-standing American personal-care labels, among them Alberto VO5, Zest, Coast, Brut, Pert, Sure, Rave and Thicker Fuller Hair [3].

Acquisitions & strategy

Acquisition has been Sodalis's principal means of growth. In 2017 it bought BioNike and BrandCare, and in 2018 it acquired the Deborah Group, a leading Italian make-up company behind Deborah Milano [2]. The following year it purchased ESI, marking its entry into the nutraceutical market, and in 2020 it added Natural Honey, described as a Spanish body-wash leader. In 2023 the group acquired Goovi, which it characterised as its first digitally native brand.

Two larger deals followed in 2024. In May 2024 Sodalis agreed to acquire a majority stake in the German colour-cosmetics maker Artdeco Cosmetics Group [4]. Later that year it acquired HRB Brands, also known as High Ridge Brands, from the private-equity firm Tengram Capital Partners, bringing a portfolio of established US personal-care names into the group [3]. The company presents itself as a family-owned, multi-brand and multi-channel organisation, and the trade press has described it as highly acquisitive [3].

Ownership

Sodalis Group is privately held and remains under the control of its founding family. The company states that it has been active for more than 30 years and has always been Italian family-owned [1]. It is not publicly listed. In its 2024 acquisition of HRB Brands, Sodalis acted as the buyer, purchasing the business from Tengram Capital Partners rather than taking on outside private-equity ownership itself [3].
