Kenvue Inc. is an American consumer health company headquartered in Summit, New Jersey. It was created from the consumer healthcare division of Johnson & Johnson and registered as a Delaware corporation on 23 February 2022, initially under the placeholder name JNTL, Inc. [1] The group brings together self-care, skin health and essential-health brands that were previously part of J&J, and it has traded as an independent public company since 2023.

For the beauty sector, Kenvue matters chiefly as the owner of a large stable of mass-market skin, sun and hair-care names — among them Neutrogena, Aveeno and Clean & Clear — alongside the wider self-care and first-aid brands that make up its portfolio. As of mid-2026 the company remains listed and independent, though it has agreed to be acquired by Kimberly-Clark in a transaction that shareholders approved in January 2026.

History & milestones

Kenvue's origins lie in a corporate reorganisation at Johnson & Johnson. In 2021 J&J announced that it would separate its consumer health business — the division behind long-established products such as Band-Aid, Listerine and Tylenol — into a standalone company. [1] The new entity was incorporated in early 2022 and later took the name Kenvue.

The separation was carried out in stages. Kenvue completed its initial public offering on 4 May 2023, with shares priced at $22 and the offering raising roughly $3.8 billion. [1] Johnson & Johnson then completed the split later that year through a July 2023 exchange offer, allowing J&J shareholders to swap their stock for Kenvue shares and leaving Kenvue as a fully independent company. Portfolio & brands

Kenvue owns a broad portfolio spanning self-care, skin health and beauty, and essential health. According to the company, its brands cover everyday categories from pain relief and oral care to skincare and sun protection.

Within skin and hair care, the group's best-known beauty-relevant names include Neutrogena, Aveeno, Clean & Clear and Johnson's Baby, together with the French body-care line Le Petit Marseillais and the sun-care brand Piz Buin. [1] Its portfolio also includes the hair regrowth treatment Rogaine, the hair-care brands OGX and Maui Moisture, and the professional skincare lines Exuviance and NeoStrata. Beyond beauty and personal care, Kenvue's holdings extend to household self-care staples such as Listerine, Band-Aid and Tylenol. [1]

Acquisitions & strategy

Kenvue was formed by corporate separation rather than by building up a company through acquisitions, so its defining transactions concern its own creation and, more recently, its planned sale. The 2021 spin-off decision by Johnson & Johnson set the group's direction, and the 2023 IPO and exchange offer established it as an independent business. [1]

In 2025 Kenvue became an acquisition target itself. Kimberly-Clark agreed to buy the company in a cash-and-stock deal that valued it at about $48.7 billion in total enterprise value. [1] The transaction moved toward completion in early 2026: on 29 January 2026, shareholders of both Kimberly-Clark and Kenvue approved the acquisition. [4] According to the announcement, the deal had not yet closed at that point and was expected to complete in the second half of 2026, subject to regulatory approval. [4]

Ownership

Kenvue is a public company. Its shares trade on the New York Stock Exchange under the ticker KVUE, and it is a component of the S&P 500 index. [1] The company was fully separated from Johnson & Johnson in 2023 and has since operated as an independent, publicly traded group.

That status is set to change if the pending Kimberly-Clark acquisition closes as planned. Following shareholder approval in January 2026, Kenvue is expected to become part of Kimberly-Clark once regulatory clearance is obtained, with completion anticipated in the second half of 2026. [4] As of the most recent available information, however, the deal remains open and Kenvue continues to trade independently.
